End User Licence Agreement (EULA)
We offer classic Desktop, Web and App Licences, as well as a licence for Test Fonts.
For the sake of simplicity, we have summarized all possible media, conditions and the corresponding rights of use in one license document.
You select which options and scope of use you require during the ordering process.
1. Preamble
This Font Software License agreement becomes a legally binding contract between you (Licensee) and BrassFonts (BrassFonts - Guido Schneider / Licensor) hereinafter referred to as “BFGS” upon your acceptance of these license terms.
2. Definition of terms
In this agreement, the terms “Font”, “Fonts”, “Font Software” or “Typeface” have the same meaning and are defined as the designs of the Fonts and the software that generates one or more typeface designs, together with any other artwork that may be associated with the Font. “You”, “Your”, “Licensee” and the “End User” are defined as and refer to a customer who has purchased a license to use the Font. An end user is not defined as a distributor, reseller, dealer, sub-licensee, original equipment manufacturer (“OEM”) or other bulk purchaser.
3. General information
In order to avoid confusion and to be allowed to use our Fonts (Font Software), it is important that you read, understand and accept the terms and conditions set out in this agreement. The license terms define the permitted use of the Fonts, your rights and the rights that BFGS reserves. By downloading and/or installing and/or using the BFGS Font Software, you acknowledge that you understand and agree to the terms of this agreement. You further acknowledge that you have the authority to bind the person or entity identified on your proof of purchase to the terms of this agreement.
If you feel that your usage needs or use case are not addressed, or if you are unsure about the meaning of any section of this agreement, please contact us before making a purchase.
For all license purchases, only a one-time payment is required for unlimited use without recurring fees.
Upon full payment of the license fees, BFGS grants you the non-exclusive, non-transferable right to use the Fonts in accordance with the conditions defined or agreed in the order. No ownership of the Fonts is acquired.
Our Fonts are supplied in OpenType (OTF) and Webfont formats (WOFF and WOFF2), depending on the license and/or area of application. Additional formats (e.g. TrueType TTF) are available on request, but may require a separate license.
BFGS assures that it is the sole owner of the distribution rights to the Fonts and the associated intellectual property. BFGS does not infringe any copyrights of third parties.
4. General terms
– 4.1 Backup copy
You may make a reasonable number of copies of the Font Software for backup purposes only. All copies must contain the same documentation, copyright, trademark and other proprietary notices that appear on, in or with the Fonts. It is recommended that a copy of the proof of purchase is always enclosed with the Fonts.
Furthermore, the font software may be installed and used on a second or backup computer (e.g. laptop). The installation and simultaneous use of the font software on several computers or workstations is not permitted unless such use is expressly licensed.
– 4.2 Modification
You may convert designs based on the Font Software into vector formats (such as EPS or AI) for your personal or business use.
The use of programs to create or manipulate Fonts or their source code, or attempt to modify, adapt, translate, reverse engineer, decompile, disassemble or alter them to create a usable substitute version of the font, is prohibited. Any modifications to the vector outlines are considered derivative works, the use of which is subject to the terms of this agreement.
BFGS Fonts may not be converted into other font formats.
You may not instruct or authorize third parties to carry out the manipulations or modifications described above or any other manipulations or modifications to the Fonts.
– 4.3 Embedding (hardware or digital documents)
You may embed the licensed Fonts in websites and apps, provided you have purchased a corresponding license or the license is indicated on the corresponding invoice. If you have a special use in mind that is not listed here or that you cannot find in our store, please contact us.
Embedding Fonts in websites is only permitted in a secure, read-only mode. You must ensure that the users of the website cannot extract, install or use the embedded Fonts.
Embedding the Fonts in digital documents is only permitted in a secure, read-only mode. Such documents can be viewed and printed (but not edited) by the recipients. You must ensure that the users of the documents cannot extract, install or use the Fonts used or embedded. Furthermore, you may not embed the Fonts in dynamic PDF files or in formats for iPads, Kindles or other eReaders.
The creation of new documents using an embedded copy of the Font Software is expressly prohibited. You further agree not to change or modify the embedding bits or other restrictions of the embedding programs in the Font Software itself.
You may not install or embed the licensed Fonts in any software or hardware product (e.g., in the displays of household appliances, gaming devices, devices such as GPS navigators or eReaders) that displays a reproduction of the Font Software or the designs contained in the Font Software or in which the Fonts may be used by purchasers of such products. This requires a special license, which can be offered by BFGS. Please contact us for this.
– 4.4 Sharing with third parties
The BFGS Fonts may not be passed on to third parties who do not hold a licence, shared with them or made accessible to them. You may pass on the font to the pre-press department or a printing company if and as long as it is only required for production purposes. In this case, the relevant service company must also accept the terms of this licence and undertake to uninstall and delete the font files immediately after completion of the order.
– 4.5 Transferring the license
The purchased license is non-transferable. If the Fonts are no longer used, the Fonts and the associated rights of use may not be assigned, rented, resold and/or sub-licensed to third parties (an external person or another company).
5. License options
The following sections describe what the individual licensing options include and allow. The Fonts may only be used in the media/application areas listed on the invoice or order summary. If a specific purpose is not listed, this type of use is excluded.
If the number of actual users, monthly page views or app downloads exceeds the number specified in the invoice or the Fonts are used in unlicensed media, the license must be updated to cover the additional requirements. Use beyond the licensed criteria is not permitted.
– 5.1 Desktop license
The maximum number of simultaneous users is specified in the respective proof of purchase (invoice). All users must belong to the same company (or the same household) that purchases the font or for which the license was purchased. The licensed number of users may not be shared between the company (licensee) and third parties.
The Fonts may be installed on your own computer or a company font server and used in various programs (InDesign, Word, etc.) provided that all persons who have access are licensed. If automated documents are created from the server, server automation licensing must also be covered. Please contact BFGS for further information and licensing.
The BFGS Fonts may not be passed on or made accessible to third parties who do not hold a license. You may pass the Fonts on to the pre-press department or a printing company if and as long as they are only required for production purposes.
The Fonts may be embedded in static documents (e.g. PDF). However, they must be embedded securely (read/print-only mode) so that others cannot extract the Fonts and use them themselves. See also “Embedding in hardware or documents”.
If you have designed a logo, a logotype or wordmark using the original font file, you must convert the font to a vector format (such as EPS or AI) once the design is complete. You can then adapt or change the original glyph shapes according to your wishes. Furthermore, you can freely use the vectorized, no longer editable logo file and pass it on to third parties.
– 5.2 Web license
The prices for web Fonts are based on the number of visitors (to the domain/website named on your proof of purchase or or on the invoice) per month, but still only require a one-off payment. If the average monthly traffic of your website, measured over a period of three consecutive months, increases, you will need to upgrade your license. In this case, please contact us.
The licensed page impressions per month may not be used for pages that do not belong to the same organization. All domains and subdomains must also belong to the license holders.
It is permitted to embed Fonts into your own website via @font-face, to host them on the server of your own website and to use them permanently on the web. You commit to take reasonable measures to ensure that the Fonts are only available for the design/visualization of text on your website and that the font files are not accessible or downloadable by others.
The use of web Fonts on other computers (desktop computers, laptops, workstations, etc.) or for other purposes not expressly permitted here is prohibited.
– 5.3 App license
The price for an App License depends on the number of defined downloads, but only requires a one-off payment.
You may embed the App Fonts in the app specified on your proof of purchase (invoice). The Fonts may not be used for more than one app title, which means that all applications using the Fonts must have the same application title. These must remain under the specified download limit.
You may embed the App Fonts in a native or web-based mobile app. It does not matter what type of mobile platform, operating system or device is used.
The App Fonts are only licensed for your use (e.g. the design, display or editing of text in your app). You may not use the App Fonts in editable form as a tool or resource for third parties to create customer/user-specific products or documents. If you wish to use the Fonts for such purposes, please contact BFGS.
The use of Fonts licensed for use in an app on other devices (desktop computers, laptops, workstations, etc.) or for other purposes not expressly permitted here is prohibited.
– 5.4 Test Fonts license
The Test Fonts may only be used within your company to evaluate the font, create prototypes of a layout or create test visualizations for a presentation within your company.
You may present the test documents via print, web or mobile applications.
You may not use the Test Fonts for commercial purposes or create final versions of the above-mentioned layout prototypes. A full license is required for these cases.
You may not share the Test Fonts with external/third parties outside your organization, nor may the Fonts be embedded in such a way that they can be extracted and used by third parties without a license.
Furthermore, all the general provisions and notes defined above also apply to the Test Fonts.
6. Limited warranty and disclaimer of liability
BFGS warrants the product to be free from defects in material and workmanship under normal use for a period of thirty (30) days from the delivery/download date indicated on your proof of purchase (invoice).
Unless otherwise expressly stated above, the product is provided “as is”. BFGS makes no warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. BFGS does not warrant that the functions contained in the product will meet your requirements or that the operation of the software will be uninterrupted or error-free.
BFGS’s entire liability and your exclusive remedy with respect to any defective product shall be, at BFGS's option, either refund of the purchase price or replacement of such product. Refunds and replacements are only possible if a valid proof of purchase (invoice) can be provided. In the event of a refund of the purchase price, the licensees are obliged to immediately delete all font files and all backup copies and to certify this to BFGS.
BFGS is not obligated to replace the product or refund the purchase price if the failure is due to accident, alteration, misuse or abuse, or if a product is lost or damaged due to external influences or negligence.
Unless caused by gross negligence or willful misconduct on our part, BFGS shall not be liable for any form of direct, indirect, consequential, incidental, punitive, or exemplary damages (including damages for loss of profits, business interruption, loss of business information, lost data, and the like) arising out of the use of or inability to use the product, even if BFGS has been advised of the possibility of such damages.
7. Reserved rights and termination
You expressly acknowledge that the Font Software, the designs, trade names and/or trademarks contained therein and the copyrights associated therewith are each the exclusive property of BFGS. You agree that the Fonts and all copies thereof are the property of BFGS and that the structure, organization and code of the Fonts are valuable trade secrets of BFGS.
Unauthorized use of the Font Software and any other gross violation of this agreement by licensees will terminate this license without notice or opportunity to cure. In the event of termination, licensees shall immediately remove the Fonts and all copies from the system, delete all corresponding files and certify this to BFGS.
8. No other agreements
This agreement constitutes the complete and exclusive statement of the agreement between you and BFGS and supersedes all proposals or prior agreements, whether verbal or written, and all other communications relating to the subject matter of this agreement. No modification of the terms of this agreement or any provision hereof shall be enforceable against BFGS without express written modification or consent, including an express written waiver of the affected provisions of this agreement.
9. Amendments
BFGS expressly reserves the right to amend or change later versions of this License agreement at any time and without prior notice.
10. Jurisdiction
You expressly agree that this agreement shall be governed by the laws of the Federal Republic of Germany.
You hereby expressly agree that this agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is hereby expressly excluded.
The exclusive court of jurisdiction is in Köln (Cologne), Germany.
11. Miscellaneous
Should a regulation of this contract be wholly or partially invalid, the validity of the remaining regulations shall not be affected. BFGS shall replace an invalid provision with a valid provision that corresponds to the purpose of the invalid provision.
